Sony Account (XYN Account) Terms of Use

This Sony Account (XYN Account) (or “Account”) is operated by or on behalf of Sony Corporation with its registered office at 7-1, Konan 1-Chome, Minato-ku, Tokyo 108-0075, Japan (“Sony”). In these Terms of Use, “User“ or “you“ means any person who are registered to use or creating the Sony Account (XYN Account). These Terms of Use apply to your use of the Sony Account (XYN Account).

1.         Definition

“Sony Account (XYN Account)” or “Account” means an account given to a User for User’s use of the Services (defined below).

“Services” means certain services and/or functions (including add-ons) named as “XYN” (“XYN”) that require you to log in with an Account for use.

“this Website” means websites operated by Sony or Sony’s affiliate in which Sony or Sony’s affiliate provides the Services and/or communicates with users in relation to XYN and Account.

2.         Application of these Terms of Use

1. 2.1       BY CREATING AN SONY ACCOUNT (XYN ACCOUNT), YOU AGREE TO COMPLY WITH THESE TERMS (WHICH FORM A CONTRACT BETWEEN YOU AND SONY CORPORATION) AND ALL RELEVANT APPLICABLE LAWS. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE REFRAIN FROM CREATING THE ACCOUNT.

2. 2.2       Sony may impose additional rules, guidelines, terms and directions on your use of the Account (“Additional Rules”). If there is any conflict between such Additional Rules and these Terms of Use, the Additional Rules shall prevail.

3.         Registration and Management of the Account

1. 3.1       Account Registration

   1. 3.1.1   Upon your completion of registration procedure prescribed by Sony, Sony will register you and give the Account to you.

   2. 3.1.2   You may not create two or more Accounts.

   3. 3.1.3   By creating the account, you affirm that User has reached the legal age of majority.  If you are under such age, your parent or legal guardian must consent to this Agreement and Privacy Policy.

   4. 3.1.4   Sony may make improvements and/or changes to, and/or suspend or close indefinitely the Sony Account (XYN Account) and/or amend these Terms of Use at any time with or without notice.

2. 3.2       Management of Registered Information

   1. 3.2.1   You are responsible for maintaining the confidentiality of your password, account number, ID and other details and for all activities under User's account.

   2. 3.2.2   You agree to notify Sony immediately of any changes to registered information. Notification should be made as instructed by Sony in Sony’s websites where you use the Account to log in.

   3. 3.2.3   You are responsible for choosing and setting your password of the Account.

   4. 3.2.4   Your registration and/or subscription is specific to you and you may not disclose or make available your account name, ID or password to others.

   5. 3.2.5   You should change the password periodically.

   6. 3.2.6   Any unauthorized use of User's account or other breach of security shall be reported to Sony immediately.  In such case, Sony may suspend or terminate your Account or your use of the Services,  or take or ask you to take other actions to prevent loss or damage caused by such unauthorized use.

4.            Share of the Registered Information

If you use the Account to use other services provided by a third party that contracts with Sony, Sony may disclose to such third party certain information which evidences your fulfillment with the conditions for such third party’s services. The information disclosed for such purpose will not contain any personally identifiable information.

5.            Expiration of the Account

1. 5.1       If you wish to stop using the Account, please notify Sony of such intension. Notification shall be made as instructed by Sony in Sony’s websites where you use the account to log in.

2. 5.2       Your Account will be expired when Sony completes all procedures in response to your request for deletion to all services (including the Services) you use with the Account.

6.         Use of the Account

1. 6.1       If you use other services to which you log in with the Account, you must comply with other terms and conditions which apply to such services In addition to these Terms of Use.

2. 6.2          In relation to the Sony Account (XYN Account) you may not:

   1. (i)                  register incorrect information;

   2. (ii)                 breach these Terms of Use;

   3. (iii)               illicitly use the Account;

   4. (iv)               infringe on or misappropriates copyrights, other intellectual property rights, right of publicity, right to privacy, nor any other rights or properties of Sony or others;

   5. (v)                 defame reputation of Sony or others;

   6. (vi)               replicate, copy, disclose, sell or lease the Account of others;

   7. (vii)              attempting to interfere with the Service or operation of the Sony Account (XYN Account);

   8. (viii)            use the Account for commercial purpose without Sony’s prior consent;

   9. (ix)               use the Account for any political or religious activity;

   10. (x)                 violate laws or regulations or public policy;

   11. (xi)               use other user’s Account without such other user’s consent;

   12. (xii)              do any acts which possibly cause any of (i) through (xi); or

   13. (xiii)            do any other acts which Sony regards as inappropriate.

7.            Termination

1. 7.1          Sony may terminate your Account if:

   1. (i)                  your Account is not accessed or if you do not log in during any period of two (2) years or more;

   2. (ii)                 Sony reasonably determines to discontinue your Account for the reason of being unable to contact to you; or

   3. (iii)               you breach the provisions set forth in Section 6 and do not cure such breach within a reasonable period.

8.            Effect of Termination

1. 8.1       After your Account is expired, you are not able to use the Account including log-in to the Services and/or other services to which you log in with the Account.

2. 8.2       Sony will delete the registered information, password, your usage log of the Account and other information you have provided in the course of your use of the Account within six (6) months of the expiration of the Account. Notwithstanding the foregoing, Sony may retain certain information to protect the rights and property of you or third parties.

9.            General Terms

1. 9.1          Ownership of the Content

   1. 9.1.1   All content on this Website including, but not limited to, text, pictures, images, logos, videos, sounds and software, (collectively, “Content”)  is owned by Sony and/or their content  providers and is protected by copyright and other laws.

   2. 9.1.2      Without Sony’s prior written consent you may not:

      1. (i)                  sell or use the Content for commercial purpose

      2. (ii)                 modify, copy or replicate the Content

2. 9.2          Subcontractor

   Sony may subcontract all or part of operations of the Account to a third party (“Subcontractor”). In such case Sony shall cause such Subcontractor(s) to observe and comply with the terms and conditions of this Agreement.

3. 9.3          Disclaimer

   1. 9.3.1   Except for liabilities arising from Sony’s willful misconduct or gross negligence, Sony is not liable to User or any other parties for any loss or damage which occurs in connection with your Account.

   2. 9.3.2   In no case Sony is liable for any loss or damage which occurs due to your management of the Account or password.

4. 9.4          Notice

   1. 9.4.1   Sony will make any notification or communication (including your inquires) related to the Account and these Terms of Use via e-mail.  Notwithstanding the foregoing, Sony may make a notification by posting it on this Website instead of sending e-mails.

   2. 9.4.2   Notwithstanding Section 9.4.1, Sony will make a notification by any other means if required by applicable laws or determined as an appropriate means by Sony.

5. 9.5          Amendment to the Terms of Use

   1. 9.5.1   These Terms of Use may be updated and amended from time to time for any reason without notice to you. Notwithstanding the foregoing, Sony will notify you of and ask you whether you accept or not to changes to the Terms of Use if such changes may have significant impact on you or Sony.

   2. 9.5.2   Your continued use of the Account shall signify your acceptance of the changes.

6. 9.6       Miscellaneous

   1. 9.6.1   If any provision of these Terms is held to be unenforceable, the unenforceable provision shall be deemed to be replaced by a valid, enforceable provision that most closely matches the intent of the original provision. This shall not affect the validity or enforceability of the remaining provisions.

   2. 9.6.2   These Terms and any dispute related to or arising out of these Terms shall be governed in all respects by the laws of Japan without reference to any choice or conflict of laws principles. 

   3. 9.6.3   You and Sony shall attempt in good faith to resolve all disputes under these Terms of Use by mutual agreement before initiating any legal action or attempting to enforce any rights or remedies hereunder. If such dispute is not resolved, You and Sony shall submit to the jurisdiction of, and waive any venue objections against, the Tokyo District Court to resolve the dispute arising under or in connection with this Agreement.  You and Sony agree that the judgment, decree or order rendered by a court of last resort or a court of lower jurisdiction from which no appeal has been taken in Tokyo, Japan shall be final and binding upon both Parties.

   4. 9.6.4   The Terms shall apply in the English language.  Any translation that may be provided is only for information purposes and the accuracy of such translations should not be relied upon.  If there is any conflict in the meaning between the English language version of these Terms and any translation of these Terms in any other language, the English language version shall prevail.

   5. 9.6.5   Neither these Terms nor any of the rights and obligations of Users thereunder shall be assignable or transferable, in whole or in part, to any third party without prior written consent of Sony. Sony may, without prior written consent of the User assign and transfer these Terms, including the rights and obligations thereunder, to its wholly-owned subsidiary. Any assignment or attempted assignment in violation of the provisions of this section shall be null and void. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the successors, representatives, and administrators of the parties.
